Membership Agreement

(Name)
Article 1: This Forum shall be called "mobile IT Forum (abbreviation:
mITF)" (hereinafter, "Forum").
(Objectives)
Article 2: The objectives of the Forum are to perform research and development on New-Generation Mobile and studies on its standardization, coordination with related organizations, information collection, and promotional and educational activities, with an aim to facilitate an early realization of New-Generation Mobile, including the fourth-generation mobile communications system and mobile commerce among others, and thereby contribute to a healthy utilization of radio spectrum.
(Activities)
Article 3: The Forum will carry out the activities listed below to achieve its objectives.
(1) R&D on the New-Generation Mobile, including the fourth-generation mobile communications system and mobile commerce service, etc., and studies on its standardization.
(2) Collection, exchange and provision of information relating to the New-Generation Mobile
(3) Correspondence and coordination with institutions concerned with New-Generation Mobile
(4) Promotional and educational activities for New-Generation Mobile.
(5) Other activities required to fulfill the objectives of the Forum.
(Members)
Article 4: The Forum comprises of the following members who agree with the purport of the Forum and submitted an application for membership stipulated in the article below.
(1) General Members: A corporation or organization
(2) Individual Members: Individuals in the academic circle, etc.,
(Membership Application)
Article 5:
5.1 Those who wish to participate in the Forum are required to submit a membership application form.
5.2 Those who wish to participate as an individual member must obtain the approval from the Steering Committee after submitting the membership application form.
(Payment of Annual Membership Fee)
Article 6:
6.1 General Members are required to pay an annual membership fee of \200,000 (two hundred thousand yen) each fiscal year.
6.2 Payment of annual membership fees is not required for Individual Members.
6.3 Annual membership fees once paid by General Members shall not be refunded under any circumstances.
(Resignation)
Article 7: Members who wish to resign from the Forum must inform the Forum to this effect in writing.
(Directors)
Article 8: The Forum shall have Directors as described below;
(1) Chairman: one person
(2) Vice Chairmen: a few persons
(3) Auditor: one person
(Election of Directors)
Article 9:
9.1 Directors shall be elected from the Members by the Plenary Meeting.
9.2 The Chairman represents the Forum and manages the businesses of the Forum.
9.3 The Vice Chairmen support the Chairman and act on his/her behalf in the event of an accident.
9.4 The Auditor audits the accounts of the Forum.
9.5 The term of office for Directors is one year. Directors can be re-appointed for multiple terms.
9.6 Directors are required to fulfill their responsibility until their successors are appointed, either in the case of self-resignation or expiry of their terms of office.
(Advisors)
Article 10:
10.1 The Forum is able to appoint Advisor(s).
10.2 Advisor(s) shall be appointed at the request of the Chairman.
(Special Members)
Article 11:The Chairman is able to request the participation of Special Member(s) if deemed necessary to perform the activities of the Forum.
(Plenary Meeting)
Article 12:
12.1 The Plenary Meeting shall be called by the Chairman, and consists of Members and Special Members.
12.2 The Plenary Meeting cannot be held without the participation of half or more of the Members including participation by a letter of attorney.
12.3 The Plenary Meeting shall be presided by the Chairman.
12.4 The proceedings of the Plenary Meeting shall be approved by the consent of the majority of the Members attending the meeting. In case of a tie, approval or disapproval shall be decided by the vote by the Chairman.
12.5 The Plenary Meeting resolves the items below in addition to those stipulated in this Agreement;
(1) Revision of this Agreement
(2) Business plans and budget plans
(3) Business reports and financial statements
(4) Other important items relating to the operation of the Forum.
12.6 The Plenary Meeting can be held in writing or by email when necessary.
(Steering Committee)
Article 13:
13.1 A Steering Committee shall be placed under the Forum.
13.2 The Steering Committee consists of Steering Committee members, who are commissioned by the Chairman after being selected from the Members or Special Members of the Forum and approved by the Plenary Meeting.
13.3 The Steering Committee is held from time to time as necessary to resolve the items below:
(1) Items to be submitted to the Plenary Meeting
(2) Items commissioned by the Plenary Meeting
(3) Items deemed necessary by the Chairman
(4) Items related to the detailed rules to execute the Forumユs activities
(Committees)
Article 14: When deemed necessary to carry out the businesses of the Forum, Committees can be organized by the resolution of the Steering Committee.
(Secretariat)
Article 15:
15.1 A Secretariat shall be placed under the Forum.
15.2 The Secretariat of the Forum shall be located at the Association of Radio Industries and Businesses.
(Costs and Expenses)
Article 16:
16.1 The costs and expenses required for the operations of the Forum shall be appropriated from the annual membership fees, donations and other miscellaneous income.
16.2 The costs required for experiments, etc., to be carried out as part of the Forumユs activities shall be covered by the amount to be collected from the Members participating in the experiment independently from the costs and expenses stipulated in the article above.
(Fiscal Year)
Article 17: The Fiscal Year of the Forum commences on April 1 every year and ends on March 31 of the following year.
Supplementary Clauses
1. This Agreement is put into effect on the day of inauguration of the Forum (June 25, 2001).
2. Regardless of the provisions in Article 17, the Fiscal Year of the first year of the Forum starts on the day of inauguration (June 25, 2001) and ends on March 31, 2002.
3. Regardless of the provisions in Article 9, the terms of the Directors in the first year of the Forumユs operation start on the day of inauguration Plenary Meeting (June 25, 2001) and end on March 31, 2002.
